MOX Terms of Use

MOX is currently under development. Certain functions described in these Terms may be planned, experimental, available only to selected users or unavailable until the Beta or public release. Descriptions of future functions do not constitute a binding guarantee that they will be released or remain available.

1. About MOX

MOX is a digital platform for creating, editing, processing, rendering, managing and sharing motion content and related digital materials.

In these Terms, “MOX”, “we”, “us” and “our” refer to the operator of the MOX website and platform.

2. Scope of These Terms

These Terms govern access to and use of:

Additional terms may apply to specific plans, Beta programmes, APIs, teams, promotional offers or third-party services.

By creating an account, purchasing a subscription or using MOX, the User agrees to these Terms.

Descriptions of future features do not constitute a binding guarantee that a specific function will be released or remain available.

Where no registration, payment or production functionality is active, merely visiting the public website does not create a paid service contract.

4. Eligibility

Users must be at least 18 years old.

A person using MOX on behalf of a company, organisation or other legal entity confirms that they have the authority to accept these Terms on its behalf.

MOX may request information reasonably necessary to verify identity, authority, age, payment information or account security.

5. User Accounts

Certain MOX functions require a User account.

Users must:

Users are responsible for activities performed through their accounts unless the activity results from circumstances attributable to MOX.

Accounts may not be sold, transferred or shared in violation of the applicable Plan or Team rules.

MOX may use reasonable security measures, including email verification, session controls, multi-factor authentication, rate limits and suspicious-login detection.

6. Plans and Subscriptions

MOX may offer Free, Lite, Pro, Ultra, Team or other Plans.

The current prices, billing intervals, storage limits, project limits, rendering limits, file limits, watermark rules, commercial-use permissions, team seats, API access, Library permissions and additional functions are determined by the Plan description shown at the time of purchase or selection.

The Plan description forms part of the agreement between MOX and the User.

MOX may introduce, modify, rename, archive or discontinue Plans. Material changes affecting an active paid subscription will be communicated where required by applicable law.

7. Paid Subscriptions

Paid subscriptions may be offered on a monthly, annual or other recurring basis.

Before completing a purchase, the User will be informed of:

Where automatic renewal applies, the subscription continues until it is cancelled in accordance with the cancellation terms presented during purchase.

Cancellation generally prevents future renewal. Unless otherwise stated, access to paid functions continues until the end of the already-paid billing period.

The final payment, refund, withdrawal and cancellation conditions displayed during checkout take precedence over general marketing descriptions.

8. Consumers and Business Users

A “Consumer” is a natural person acting mainly for purposes outside their trade, business or profession.

A “Business User” is a natural or legal person acting in connection with a commercial, self-employed or professional activity.

Mandatory consumer rights remain unaffected.

Provisions expressly limited to Business Users do not apply to Consumers.

MOX may request company information, billing details or a VAT identification number to determine the applicable contractual and tax treatment.

9. Payments

Payments may be processed by an external payment service provider.

MOX does not necessarily receive or store complete card or bank details.

The User must provide valid payment information and ensure sufficient funds are available.

If payment fails, MOX may:

Outstanding payment obligations remain unaffected.

Taxes and invoice treatment depend on the User’s status, billing address, applicable law and the information provided during checkout.

10. Upgrades, Downgrades and Usage Limits

A Plan change may take effect immediately or at the beginning of the next billing period, as shown during the change process.

Changing to a lower Plan may cause existing projects, files, storage or usage to exceed the new limits.

In an over-limit state, MOX may restrict:

MOX will not intentionally delete resources solely because a User exceeds a Plan limit without providing notice or an appropriate User-controlled process, except where deletion is required for security, legal compliance or enforcement of these Terms.

The User may be required to delete resources, reduce usage or upgrade the Plan.

11. User Content

“User Content” includes all materials uploaded, submitted, created, generated, edited, transferred, published or shared through MOX, including:

The User retains any rights the User already holds in their original User Content.

The User is solely responsible for User Content and for the consequences of uploading, processing, publishing, sharing or commercially using it.

12. User Rights and Permissions

By uploading or submitting User Content, the User confirms that the User possesses all rights, licences, permissions and consents necessary to:

MOX does not verify ownership or licence status of every uploaded item.

MOX does not provide legal clearance for User Content or Outputs.

13. Licence Required to Operate MOX

The User grants MOX a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, technically modify, encode, transmit, display and process User Content only to the extent reasonably necessary to:

This operational licence does not transfer ownership of the User’s original materials to MOX.

Unless otherwise stated for public Library Content, the licence ends when the relevant content is deleted, subject to technically necessary backup periods, legal retention requirements and previously authorised uses.

14. Free Plan and MOX Library

Projects and Outputs created under the Free Plan may be subject to:

Where a Free Plan project is published in MOX Library, the User grants MOX a worldwide, non-exclusive, royalty-free licence to:

The exact publication and reuse permissions applicable to a project must be shown in the relevant Plan or Library interface.

The User remains responsible for ensuring that the published content may lawfully be made public and used according to the selected permissions.

15. Paid Content and Commercial Use

Paid Plans may permit commercial use of Outputs, subject to the applicable Plan description.

Commercial permission provided by MOX applies only to rights controlled by MOX.

It does not grant rights to:

The User must independently verify all third-party rights before commercial use.

Paid projects are private by default unless the User chooses to publish or share them, subject to the specific Plan and feature settings.

16. Public Projects, Templates and Forks

Where MOX allows publication, template use, copying, forking or reuse, the User may select available permissions.

Once another User has lawfully created a copy or fork under the permissions applicable at that time, later removal of the original project does not necessarily invalidate that existing copy or fork.

Users who reuse templates or public projects remain responsible for:

MOX does not guarantee that public projects or templates are free from third-party claims.

17. AI and Automated Processing

MOX may provide automated, algorithmic or AI-assisted functions.

The User must independently review every Output before publication, distribution or commercial use.

Unless expressly disclosed and accepted under a future feature-specific policy, MOX does not use private User Content to train general-purpose AI models owned by MOX.

Processing by future external AI providers will be described in the applicable Privacy Policy or feature notice before activation.

18. Prohibited Content and Conduct

Users must not use MOX to upload, create, process, publish or distribute content that:

Users must not reverse-engineer, scrape, overload or misuse MOX except where such activity is expressly permitted by mandatory law or written authorisation.

19. Moderation and Enforcement

MOX may review, restrict, block, hide or remove content where MOX reasonably believes that the content:

Where required by applicable law, MOX will provide a reason for the decision and an available means of complaint or appeal.

20. Teams and Workspaces

A Team may have its own subscription, members, seats, projects, files and usage limits.

A person joining a Team confirms that the Team may control, access, transfer or delete Team Content in accordance with the Team settings and applicable agreement.

Users must export or copy personal materials before uploading them to a Team where necessary.

21. Storage, Files and Backups

MOX may store physical files and logical references separately.

Deleting a project may not automatically delete every associated file if that file remains used elsewhere.

Storage and file-size limits depend on the applicable Plan.

MOX is not intended to be the User’s sole permanent archive.

The User is responsible for maintaining independent backup copies of important:

MOX does not guarantee indefinite storage of files after account termination, subscription expiry, deletion or an applicable retention period.

22. Rendering and Processing

Rendering and processing may be subject to:

Estimated processing times are not guaranteed.

Rendering may fail or be delayed because of technical errors, incompatible files, third-party systems, maintenance, capacity restrictions or other circumstances.

The User must review the completed Output before relying on it.

23. Third-Party Services

MOX may use or connect to third-party services, infrastructure, payment providers, AI providers, hosting providers, libraries or APIs.

Third-party services may be governed by their own terms and privacy policies.

MOX is not responsible for third-party services outside MOX’s reasonable control, including:

This does not exclude liability where MOX is legally responsible for selecting, instructing or supervising a provider.

24. Intellectual Property of MOX

MOX and its licensors retain all rights in:

The User receives only the limited right to use MOX according to these Terms and the applicable Plan.

No ownership in MOX technology is transferred to the User.

25. Beta Functions

Beta, preview, experimental or early-access functions may:

Users must not rely on Beta functions for critical production processes without independent safeguards and backups.

Where legally permitted, Beta functions are provided without any additional guarantee beyond mandatory statutory rights.

26. Service Availability

MOX may perform maintenance, security updates, migrations and technical changes.

MOX does not guarantee uninterrupted, error-free or permanently available operation.

MOX may modify, restrict or discontinue individual functions where reasonably necessary for:

Mandatory contractual and consumer rights remain unaffected.

27. Warranty

Consumers retain mandatory statutory rights concerning digital products and digital services.

For Business Users, MOX is provided based on the agreed service description and available technical state.

MOX does not provide guarantees regarding a particular commercial result, audience response, revenue, conversion rate, marketing performance or legal protectability of Outputs unless expressly agreed in writing.

28. Limitation of Liability

MOX has unlimited liability:

In cases of ordinary negligence, MOX is liable only for the breach of an essential contractual obligation whose fulfilment is necessary for proper performance of the contract and on whose fulfilment the User may normally rely.

In such cases, liability is limited to the foreseeable damage typical for this type of contract.

To the extent permitted by law, MOX is not liable for:

For Business Users, additional liability limitations may be agreed in the applicable business or Team contract.

29. Indemnification by Business Users

To the extent permitted by applicable law, a Business User shall indemnify MOX against justified third-party claims, damages, reasonable legal costs and expenses arising from:

This obligation applies only to the extent that the Business User is responsible for the underlying violation.

MOX will inform the Business User of the claim and provide a reasonable opportunity to participate in the defence.

This section does not apply to Consumers beyond what is permitted by mandatory law.

30. Account Termination and Deletion

Users may stop using MOX at any time.

Paid subscriptions must be cancelled through the applicable cancellation process.

Users may request account deletion through the available account settings or by contacting MOX where such settings are not yet available.

Before deletion, Users are responsible for downloading and backing up required files.

Deletion may result in permanent loss of:

MOX may retain or anonymise certain information where required for:

Rules for public Library projects may require a separate deletion or rights-selection process.

31. Changes to These Terms

MOX may update these Terms to reflect:

Material changes affecting an existing paid contractual relationship will be communicated in advance where required.

Changes will not retroactively remove mandatory rights already acquired by Consumers.

Continued use after the effective date of properly notified changes may constitute acceptance where permitted by law.

32. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.

For Consumers, this choice of law does not deprive the Consumer of mandatory protections granted by the law of the country in which the Consumer has their habitual residence.

For Business Users, the exclusive place of jurisdiction shall be the competent court at the operator’s place of business, to the extent permitted by law.

33. Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain unaffected.

Mandatory statutory provisions apply in place of an invalid provision.

This clause does not change the statutory rules concerning the validity of standard contractual terms.
